General Terms of Sale (GTS)

These GTS apply to all sales of products and services concluded between Akuasense and any business customer, unless special conditions are agreed in writing between the parties.

Any order must be expressly accepted by the customer, evidenced by signing a quote, purchasing on the website akuasense.com or the web application hub.akuasense.com, sending a purchase order, or by any written means, including electronic means.
The order is deemed accepted by Akuasense only after written confirmation (email, mail, or other) or issuance of an order acknowledgment.
Orders are firm and final once confirmed by Akuasense. Any modification or cancellation of an order by the customer may only be taken into account with Akuasense’s express agreement and may result in additional billing or a withholding.
The customer is responsible for verifying the accuracy of the information provided when placing the order (delivery address, contact, product references, etc.). Akuasense cannot be held liable for errors or consequences related to inaccurate data.

Products offered for sale may be limited in quantity. Availability depends in particular on stock at our suppliers.
If a product is unavailable after the order is validated, Akuasense will inform the customer as soon as possible by email.

Prices are expressed in euros, excluding tax (ex VAT), unless otherwise stated. They may be revised at any time without notice. Products and services are invoiced on the basis of the rates in effect at the time the order is recorded and the service is subscribed to, respectively.

Shipping costs are charged in addition to the price of products and services. They include a contribution to preparation, packaging, shipping and, where applicable, insurance costs. These costs are not included in displayed or advertised prices unless expressly stated otherwise.
Shipping costs are specified on a case-by-case basis in the quote, purchase order (for example on the akuasense.com checkout page for online orders) or invoice, depending on the place of delivery, volume, weight and shipping method chosen.

Payment terms are specified in the quote or invoice. Unless otherwise agreed:

• Equipment: 100% on order, balance on receipt. Title to the equipment remains with Akuasense until full payment.
• Subscriptions: payment on receipt of invoice. In case of non-payment, access to the service is suspended (see Article 9).

Delivery times are indicative and may vary depending on product availability and transport conditions.
Akuasense cannot be held liable for delays due to the carrier, strikes, severe weather, or any force majeure event.
Products are delivered in perfect condition against signature. The customer must inspect the package upon receipt, make any reservations with the carrier, or refuse the package in case of obvious damage.
No claim will be accepted if the customer has not made reservations at the time of delivery.

Akuasense products benefit from a contractual warranty of 2 years from the date of delivery, covering manufacturing or operating defects.
This warranty does not cover damage resulting from misuse, negligence, unauthorized modification, or normal wear.

Akuasense probes communicate via the 4G mobile network. A subscription is charged for access to data and the platform https://hub.akuasense.com.
Subscriptions are monthly, tacitly renewed, and billed per unit (i.e. one subscription per probe), unless a limited-time offer or explicit contrary terms apply. They may be terminated by the customer at any time, no later than 3 days before the renewal date, by email or via the customer area.
Akuasense reserves the right to suspend or terminate a subscription, in particular in case of non-payment, abusive use, or non-compliant use of equipment or services.

Akuasense equipment uses the 4G LTE-M network or equivalent to transmit data. Service quality depends on network coverage at the installation site. It is the customer’s responsibility to verify network compatibility and coverage before any order.
Akuasense cannot be held liable for malfunction related to absent or weak network coverage. No refund will be granted on this ground.

In the course of its activities, Akuasense collects and processes personal data in accordance with applicable regulations, in particular the French Data Protection Act of 6 January 1978 and the General Data Protection Regulation (GDPR — EU 2016/679).
The purposes, processing methods, and users’ rights are set out in the privacy policy available on akuasense.com.

These GTS are governed by French law. In case of dispute, exclusive jurisdiction is granted to the courts of the district of Akuasense’s registered office, even in case of multiple defendants or warranty claims.

The customer declares that they have read and accept these GTS without reservation. Any order constitutes acceptance of these conditions, to the exclusion of any other provision, in particular the customer’s general purchasing conditions.
The GTS may be modified at any time by Akuasense. The version applicable is the one in force on the date of the order.
